PCA Potomac Proposed Bylaws changes
As an update to the changes proposed to the PCA Potomac Bylaws that were published in Der Vorganger in October 2021, the following changes are suggested, for vote by the membership at the December 4, 2021 Open Board Meeting and Annual Membership Meeting and Elections. ARTICLE VII: ELECTED OFFICERS AND THEIR DUTIES
Section 2. Duties.
Current
“b. The Vice President/President-Elect shall assist the President in the performance of the latter’s duties and shall act in place of the President in the event of the President’s absence, disability or disqualification. The Vice President shall also be responsible for finding qualified individuals to fill any open board positions that occur throughout the year.”
Revision
“b. The Vice President/President-Elect shall assist the President in the performance of the latter’s duties and shall act in place of the President in the event of the President’s death, disability, resignation, disqualification, or failure to fulfill the duties of the office of President as determined by unanimous vote of the Executive Board other than the President. The Vice President shall also be responsible for finding qualified individuals to fill any open board positions that occur throughout the year.”
ARTICLE VIII: ELECTION OF OFFICERS AND THEIR DUTIES
Section 1. Officers.

“The elected Officers of the Club shall be the President, Vice President/President-Elect, Secretary and Treasurer. No person shall simultaneously hold more than one elective office or any other Board of Director position other than directed by these bylaws without specific approval of the Executive Board. The persons holding the offices of President and Vice President/President-Elect may be elected to the same office in consecutive years, however they may not serve more than two consecutive terms. The Secretary and Treasurer may serve consecutive terms subject to recommendation by the Nominations Committee. No officer may continue in office subsequent to moving beyond the territory of the Potomac Region, if such a move causes the officer to be generally unavailable for members to reach, or otherwise impairs the officer’s ability to perform the duties of office at the discretion of the Board of Directors.”

This appointment must be confirmed by a majority vote of the Active members present at the next regular meeting.”

ARTICLE IX: THE EXECUTIVE BOARD
Section 1. Membership.

“The Executive Board shall consist of the elected Officers of the Club and the immediate Past-President.”
Revision
“The Executive Board shall consist of the elected Officers of the Club and the [delete:immediate] Past-President. The Past-President shall serve in an Ex Officio capacity and perform those duties conferred by the President, in addition to being a member of the three-person nominating committee, identified in Article VIII, Section 1. The Past-President shall be the most recent President who has completed his/her full term. If the Past-President is unable or unwilling to serve in this capacity, the Executive Board may then appoint any previous Potomac President to serve in the position of Past-President for the remainder of the then existing term.”
